These Terms govern use of Celeem, operated by Dealer Canvas LLC. Any translation is provided for convenience. To the extent permitted by applicable law, the English version controls if versions conflict.
Effective date: November 2, 2026
Important: Part J includes limitations of liability, including a US$100 total aggregate cap per user, subject to the exceptions in clause 52. Part K requires individual arbitration of most disputes and waives class actions and jury trials, with a 30-day opt-out in clause 55. Publication of this version does not retroactively change an earlier accepted agreement or accrued rights.
Celeem is an online listing service for cars, motorcycles, parts, and purchase requests in the USA, operated by Dealer Canvas LLC, 2108 N St Ste N, Sacramento, CA 95816, USA. Celeem takes no payment, holds no money, and offers no escrow. Buyers and sellers deal with each other outside the app. Dealer Canvas LLC does not become a buyer, seller, dealer, broker, carrier, or agent in a transaction solely by providing Celeem.
You must read these Terms before accepting them. Where Celeem presents an acceptance control, selecting it signifies agreement to the version presented. If you act for a dealership or another business, you represent that you have authority to bind it. The Privacy Policy explains our personal-information practices and forms part of this agreement. Acceptance does not waive privacy rights that cannot lawfully be waived.
Celeem offers no purchase protection and gives no refund for any deal; your rights against the seller stay yours. Celeem never holds a title, inspects, possesses, ships, prices or finances a vehicle, and is no expert in car values, vehicle law, tax or insurance. An inspection is not a warranty from Celeem.
Celeem is a marketplace that connects users. Dealer Canvas LLC does not guarantee that any vehicle or other listed item will sell, attract views, inquiries, or offers, achieve a particular price, or sell within any period. Publishing a listing or using our tools does not guarantee a successful transaction.
People who live in the USA; use from abroad is at your own risk. Not allowed: anyone on a US sanctions list, a registered sex offender, or anyone Celeem banned before.
Tax, registration, title transfer and DMV papers are the buyer's and the seller's own. A price on a post does not include tax, title, registration or other government fees.
Use only the sign-in methods offered by Celeem. Keep your credentials secure, do not transfer your account, and promptly notify developer@dealercanvas.com if you suspect unauthorized access. You are responsible for activity you authorize and for protecting your credentials, subject to applicable law.
Celeem communicates about your account by email and displays notices inside the app, including notices about new posts from users you follow. In-app notices are distinct from operating-system push notifications. Celeem sends no text messages (SMS).
Only to talk about that post or purchase request: no harassment, pressure, promotions, or offering your services to any user. No autodialed, prerecorded or AI-voice calls or texts to a number taken from Celeem. Never sell, share or collect other users' numbers.
No bots, scrapers, AI agents or data mining; no collecting or reselling users' data, even by hand; no copying or mirroring the app or its posts; no reverse engineering, hacking, malware, overloading or getting around Celeem's protections; no phishing, and no asking another user for a password or sign-in code; no outside apps acting on Celeem; no entering another account.
You may list a vehicle only if you own it or are legally authorized to offer it for sale. You must have the right and ability to complete a lawful transfer at the sale. Disclose liens, title brands, material defects, missing-title issues, and restrictions on transfer. Do not describe a title as clear unless that statement is accurate. Disclosing a lien does not excuse arranging its lawful release. Labeling a vehicle “parts only” does not excuse compliance with applicable law.
A post must not be edited into a different item. Its year, make, model, and vehicle identifier must describe the actual item. Correct an incorrect VIN by editing the post; never substitute another vehicle.
Review every image and description before publishing, including results produced or modified using Car Studio or other editing tools. Do not use an edit, crop, generated element, translation, or description to conceal damage, misrepresent condition or material features, imply inspection or certification, or otherwise mislead a buyer. Images must accurately represent the actual item offered; stock, catalog, or screen photos are not substitutes for photographs of that item.
Using a Celeem tool does not establish ownership of an input, permission from a person depicted, or verification of an item or resulting image.
Car Studio’s background-removal, shadow, and license-plate-blur tools may produce errors, visible artifacts, incomplete background removal, inaccurate edges, unrealistic shadows, or incomplete or missed plate blurring, and may leave identifying details visible. To the extent permitted by applicable law, image quality and suitability for your intended use are not guaranteed. Review the entire exported image before publishing, retain your original photographs, and use another image if the result is unsuitable. These tools do not guarantee anonymization, accurate vehicle condition, or removal of all identifying information. Dealer Canvas LLC does not guarantee that using these tools will attract buyers, increase a vehicle’s value, or result in a sale.
Any vehicle identifier you provide must belong to the actual vehicle advertised. Do not fabricate, alter, or copy an identifier from another vehicle. Include identifiers required by applicable advertising law, even where a Celeem field is optional. An identifier you provide is displayed on the post.
A salvage, flood, rebuilt or other branded history is stated, even when the title is clean today. The true mileage, every known defect and any lien are stated. A wrecked or parts-only vehicle is posted as such.
The full sale price: no token "$1" prices, no hidden fees, no monthly or finance price, and no price that needs financing, a trade-in or a down payment. No keyword stuffing, no wrong category, the vehicle's real city. No reposting to move it up, no flooding results with many posts, no price manipulation, and no interfering with another user's post.
Remove the post or mark it sold at once when it is sold or no longer for sale.
You follow your state's law, the buyer's state's law and, for a dealer, the FTC Used Car Rule and its state's advertising law (clause 28). An imported vehicle has its DOT and EPA papers, and CARB's where California requires them. A private post carries no agent, broker or dealer contact. Never charge a buyer for information.
Celeem may move a post to the right category, hide it or show it lower, and sets the order of posts and results. Celeem's review, by a person or automatic, checks nothing about the vehicle, its title or the seller. Before closing an account we may first remove a post or warn you.
Airbags, airbag modules or airbag covers sold alone; catalytic converters sold alone; emissions-defeat devices and exhaust bypass parts; VECI labels; titles sold with parts; VIN plates or rivets; keys sold apart from their vehicle; fake or replica parts; items whose sale is prohibited by an applicable recall or other law; vehicles that cannot lawfully be transferred as advertised; current or temporary plates; rideshare signs; radar, GPS or signal jammers; fuel, refrigerants and hazardous chemicals; leased vehicles and lease takeovers; vehicle history reports for sale.
Government vehicles; military items not demilitarized; police insignia; ID cards and government documents; property with its serial number removed or altered; burglary tools; weapons, ammunition, explosives, fireworks; drugs, prescription items, alcohol, tobacco, paraphernalia; animals; gambling, lotteries, MLM and pyramid schemes; government benefits.
Defamation; obscene content or content harmful to minors; discrimination by age, race, national origin, religion, gender, sexual orientation, disability or any ground the law protects; political, religious or off-topic posts; misleading links; asking for ratings; pranks and profanity; asking for money or gifts without a sale; gift cards or crypto as payment.
You must own or have the rights and permissions needed to submit each picture. Content copied without permission from other listings, websites, or people is prohibited. Editing content does not itself establish ownership or permission.

We respond expeditiously to notices that satisfy applicable legal requirements, including by removing or disabling access to the identified material where appropriate and notifying the submitting user.
If you believe your material was removed because of mistake or misidentification, send our designated agent a counter-notice containing:
We forward a qualifying counter-notice, including its contact information, to the original complainant. Following a qualifying counter-notice, we restore access within the applicable statutory period, generally 10–14 business days after receipt, unless our designated agent first receives notice that the complainant has filed an action seeking a court order restraining the disputed activity.
If an intimate image or video of you, or someone you are authorized to represent, appears on Celeem without consent, email developer@dealercanvas.com. Include your physical or electronic signature, identification of the depiction and information sufficient to locate it, a brief statement of your good-faith belief that it was published without consent, and contact information so we can reach you. You do not need a Celeem account to submit a request.
We remove qualifying depictions as soon as possible and within 48 hours of a valid request and make reasonable efforts to identify and remove known identical copies within that period, consistent with applicable law. This process includes qualifying digitally created or altered intimate depictions.
For a trademark, likeness, privacy, or other rights concern, contact developer@dealercanvas.com with the content location and the right involved.
Knowingly sending a false notice or counter-notice can make you liable for the damage.
You retain the rights you hold in your content. You represent that your content is true and lawful and that you have the rights and permissions needed to submit it and grant this license, including necessary permissions relating to people, trademarks, and other protected material shown in it.
You grant Dealer Canvas LLC a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, resize, crop, translate, and adapt your content as reasonably necessary to operate and promote Celeem. We may sublicense those rights to service providers only for those purposes. The license does not transfer ownership to us.
This license continues after you delete content or close your account, for copies already made, backups, records lawfully kept under the Privacy Policy, and content other users have already obtained; a deleted post is no longer shown as a live listing. We do not start new promotional use of content after you delete it.
Automatic translations may contain errors; review them before relying on them. A translation does not excuse a misleading listing.
If you operate as a dealer, select the dealership seller type and maintain the licenses and authorizations required for your activities. Include disclosures, identifiers, business details, prices, fees, and other information required by applicable law, including the FTC Used Car Rule where it applies and applicable state advertising and vehicle-sale requirements.
Celeem's listing fields, acceptance of a listing, and display of a self-selected seller type are not determinations of legal compliance. You remain responsible for your advertisement and transaction. A person acting for a business represents that they are authorized to bind that business. Clause 53 addresses user indemnity, including obligations of businesses.
A seller who avoids meeting or calls; a price near half the market; a rush; a seller abroad, or an "agent" or "attorney"; stock or screen photos.
A mechanic's inspection and a test drive; the seller's name matches the title and the seller's ID; the title signed with date, price and odometer; a bill of sale; the seller's release of liability with the DMV and the plates handled as your state's DMV says. Keep the title until the payment clears; never ship before payment.
Suggestions to meet in a public place, near a police station, or at another location are general safety suggestions, not a guarantee of safety. Dealer Canvas LLC does not inspect, supervise, monitor, or guarantee any meeting location or test drive. A suggested location does not mean police or other personnel will be present or supervise the transaction. Evaluate the circumstances, take appropriate precautions, and leave if you feel unsafe.
Celeem has no "pre-approved" or "verified" buyers or sellers. Anyone who says so is a scammer.
Subject to applicable law, Dealer Canvas LLC may review, reject, remove, restrict, or change the visibility or category of content; limit features; suspend accounts; and take reasonable steps to prevent prohibited use. We may act without advance notice where appropriate, including to address suspected violations, unlawful activity, security threats, abuse, or harm. Reviewing or leaving content available does not verify or endorse it.
Our rules and voluntary reviews do not guarantee that every violation will be detected, prevented, or removed, or that all content will be reviewed before publication. Prohibited content may remain available despite these rules. This does not limit legally required action, our express copyright and intimate-image removal commitments in clause 24, or our appeal commitment in clause 39. The rules do not independently give another user a contractual right to enforce them against us or another user, without limiting rights provided by applicable law.
Celeem may close an account at any time, for any reason, as the law allows, including one never confirmed or long unused.
If you believe a restriction or account closure was mistaken, contact developer@dealercanvas.com. Identify the account or content, the decision, and why you believe it was wrong. We will review your appeal and respond. An appeal does not guarantee restoration, suspend a lawful restriction, or prevent urgent action.
Dealer Canvas LLC adopts a policy of terminating, in appropriate circumstances, accounts of users who are repeat copyright infringers. We may also restrict or terminate accounts for other serious or repeated violations. Users must not evade restrictions or termination through another account, another person's account, or a false identity. We reserve all remedies available under applicable law.
Use the instructions on our Delete account page to request account deletion. Requests may require verification and are handled subject to applicable legal deadlines and exceptions. Retention and backup handling are described in the Privacy Policy. Account closure does not require deletion of records that may or must lawfully be retained.
We may share information with police, courts and government when the law or a valid order requires it, or to protect someone's safety, and we cooperate with them.
Subject to applicable law, Dealer Canvas LLC may modify, suspend, or discontinue Celeem or any part of it, including Car Studio and its background-removal, shadow, and license-plate-blur tools. Continued availability of any particular feature is not guaranteed. We will provide any notice and honor any rights or commitments required by applicable law or an applicable agreement.
We may change these Terms. We will post the revised Terms with a new effective date and give any notice or obtain any acceptance the law requires; for a material change we will ask you to accept the revised Terms in the app. A change binds you when you accept it in the app. If you do not accept it, stop using Celeem and delete your account.
Except for user content and third-party material, Celeem's software, branding, and service content are owned by Dealer Canvas LLC or its licensors. Subject to these Terms and applicable distribution terms, you receive a limited, nonexclusive, nontransferable license to access and use Celeem for its intended listing, buying, and selling purposes, including authorized use by a dealership and its authorized staff.
This does not permit resale of the service, scraping, unauthorized copying, or use of Celeem's branding to imply affiliation or endorsement. Restrictions do not apply to activities that applicable law expressly permits despite a contractual restriction.
Ideas or feedback you send are free for us to use, with no pay or credit.
WhatsApp, your phone's calls and maps, VIN-history sites and links in posts run under their own terms, not Celeem's responsibility.
For clauses 48–53, “Dealer Canvas Parties” means Dealer Canvas LLC and its officers, directors, employees, and agents, solely when acting on its behalf in connection with Celeem. The protections in those clauses apply to those parties only to the extent permitted by law and subject to the express exceptions below; they do not protect unrelated personal conduct.
To the extent permitted by applicable law, Celeem is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or noninfringement. The Dealer Canvas Parties do not warrant the accuracy, legality, ownership, condition, safety, price, or availability of user listings, or that the service will be uninterrupted or error-free. They do not warrant title to any vehicle, part or item listed. Your use of Celeem, and any meeting, transaction or communication with another user, is at your sole risk. The Dealer Canvas Parties are not liable for loss of access to Celeem, your account or your content. These exclusions do not affect express commitments made by Dealer Canvas LLC in these Terms or rights and warranties that applicable law does not permit it to exclude.
User content is submitted by users. Dealer Canvas LLC reserves any protections available under applicable law for third-party content, including applicable protections under 47 U.S.C. 230. Nothing in these Terms creates immunity beyond what applicable law provides.
Users are responsible for evaluating listings, other users, vehicles, ownership documents, payment arrangements, and the circumstances of a meeting or transaction. Dealer Canvas LLC does not become a party to a transaction solely by providing Celeem. A listing, search result, moderation decision, seller classification, or editing tool is not a company guarantee of identity, licensing, ownership, condition, legality, or safety.
To the fullest extent permitted by law, you release the Dealer Canvas Parties from all claims, demands and damages of every kind, known or unknown, suspected or unsuspected, arising out of or connected with a dispute with another user, another user's conduct or content, or a transaction, meeting or communication between users. If you are a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." This release does not cover liability that applicable law does not permit to be released.
To the fullest extent permitted by applicable law, the total aggregate liability of all Dealer Canvas Parties combined to any one user for all claims arising out of or relating to Celeem or these Terms will not exceed US$100. This is one combined limit per user across all covered claims, incidents, transactions, and legal theories, including contract and tort; it is not a separate limit for each claim, incident, or defendant. The US$100 limit is shared by Dealer Canvas LLC and all other Dealer Canvas Parties together; naming additional parties does not multiply it.
To the extent permitted by applicable law, the Dealer Canvas Parties are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, arising from use of Celeem.
The cap and exclusions do not apply to fraud, willful misconduct, gross negligence, or liability or remedies that applicable law does not permit to be limited or excluded. They do not limit nonwaivable consumer rights, legally protected public injunctive relief, or relief a court is legally required to make available. If applicable law does not permit a limit or exclusion, it applies only to the extent permitted. This clause limits recoverable liability where lawful; it is not a promise of payment.
To the fullest extent permitted by applicable law, you agree to defend, indemnify and hold harmless the Dealer Canvas Parties from any third-party claim, demand, loss, liability, damage, cost and expense, including reasonable attorneys' fees, to the extent caused by your content, your conduct, your transactions or communications with other users, your violation of these Terms or of any law, or your infringement of another person's rights. If you use Celeem on behalf of a dealership or another business, that business shares this obligation for conduct attributable to it, including its staff's conduct.
Dealer Canvas LLC may, at its option, control the defense and settlement of any claim covered by this clause, at your expense; you will cooperate as reasonably requested and must not settle a covered claim without Dealer Canvas LLC's prior written consent. This obligation does not cover the portion of a claim that applicable law does not permit you to indemnify, and it survives account closure.
Before starting arbitration or a lawsuit, the party with a claim must send the other a written notice describing the claim and the relief requested: to Dealer Canvas LLC at developer@dealercanvas.com, to you at the email address on your account. The parties will try in good faith to resolve the claim informally for 30 days after the notice; only after those 30 days may either party start arbitration or a lawsuit. This does not prevent either party from seeking urgent relief a court may lawfully grant.
You and Dealer Canvas LLC agree that any dispute, claim or controversy arising out of or relating to Celeem or these Terms, including their formation, interpretation, enforceability or scope, will be resolved by binding individual arbitration and not in court, except as this clause and clause 62 provide. The Federal Arbitration Act governs this clause. The arbitration is administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules before one arbitrator; those rules govern the filing, administrative and arbitrator fees, and we pay the fees they assign to the business. Hearings take place by video or telephone, or in Sacramento County, California, unless the parties agree otherwise. The arbitrator may award on an individual basis any relief a court could award, including damages and injunctive relief limited to the claimant. Judgment on the award may be entered in any court with jurisdiction.
Either party may instead bring an individual claim in a small claims court with jurisdiction. You may opt out of this arbitration clause by emailing developer@dealercanvas.com within 30 days after you first accept these Terms, stating your account email and that you opt out of arbitration; an opt-out does not affect the other clauses of these Terms.
Nothing in these Terms restricts complaints to government agencies, cooperation with authorities, public injunctive relief, or rights that applicable law does not permit the parties to waive.
Except as these Terms or the law provide otherwise, each party bears its own legal fees and costs. Clause 53 states when a user owes ours.
To the fullest extent permitted by law, you and Dealer Canvas LLC each waive the right to a jury trial and the right to bring, join or participate in a class, collective, consolidated or representative action or arbitration. Claims may be brought only in a party's individual capacity, and an arbitrator may not consolidate the claims of different users or award relief to anyone but the individual claimant. If this waiver is found unenforceable as to a particular claim or request for relief, that claim or request, and only it, is severed and decided by a court under clause 62 after the arbitration of all other claims.
The version of these Terms in force when a claim arose governs that claim; this version governs use of Celeem from its effective date.
A change to Part K applies to claims that arise after you accept it, and the opt-out in clause 55 applies again, from that acceptance, to a change to the arbitration clause.
To the extent the law allows, any claim arising out of or relating to Celeem or these Terms must be brought within one year after the claim arose, the 30 days of clause 54 not counted, or it is permanently barred.
These Terms and disputes arising out of or relating to Celeem are governed by California law, without regard to conflict-of-law rules, except to the extent federal law governs or mandatory law requires otherwise. This choice does not deprive a consumer of protections that applicable law does not permit the parties to waive.
A dispute not subject to arbitration under clause 55, and any action to compel arbitration or to enforce an award, must be brought in a state court located in Sacramento County, California, or the federal court serving that county, in each case with subject-matter jurisdiction, and the parties consent to personal jurisdiction there. Either party may bring an eligible individual claim in a small claims court with jurisdiction and proper venue under applicable law. If applicable law gives a consumer a nonwaivable right to bring a claim in another court or prevents enforcement of this venue selection, that right controls. Nothing in this clause restricts government complaints, legally protected public injunctive relief, or other nonwaivable remedies.
These Terms and policies expressly incorporated into them form the agreement concerning Celeem, subject to any separate valid agreement expressly applicable to a particular service. If a provision is unenforceable, the remainder continues to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not assign your agreement or account without our consent, except as applicable law permits. Dealer Canvas LLC may assign the agreement with a transfer of the relevant business, subject to applicable law and existing privacy commitments. Section titles are for convenience only and have no legal effect.
If you obtain the Celeem application through Apple's App Store, the software license applicable to that download is the license presented through the App Store, including Apple's Standard End User License Agreement where no valid custom EULA applies. These Terms govern use of the service and do not override mandatory application-license provisions or nonwaivable rights. The Dealer Canvas Parties other than Dealer Canvas LLC are intended third-party beneficiaries solely of the protections expressly provided to them in clauses 48–53 and may enforce those protections subject to their limits and exceptions. Except for those rights and rights provided by an applicable application license or law, this agreement does not give enforcement rights to third parties.
Provisions that by their nature should survive termination continue to apply, including ownership, accrued obligations, dispute provisions, and lawful limitations. The content license survives as stated in clause 26.
Keep your contact information current. We may send account and legal notices through the service or the email address associated with your account, subject to applicable law and existing agreements. Permission for electronic notices does not replace any form of notice or service required by law.
